Terms of Service

This is the agreement (also the end-user license agreement, or EULA) between you and TradeDesk for the TradeDesk Pro app and website.
Read these three first
- TradeDesk is not a lawyer, an accountant, or a tax preparer. Lien deadlines, deposit caps, sales tax, RRP paperwork, apprentice hours and payroll checklists are record-keeping tools, not advice. Section 11.
- You own your data and can export it and delete it. Section 6.
- Tracking your crew is your legal responsibility as the employer. Section 8.
1. Agreeing to these terms
By creating an account, downloading the app, or using TradeDesk, you agree to these terms and to our Privacy Policy. If you do not agree, do not use TradeDesk. If you are agreeing on behalf of a company, you confirm you have authority to bind it, and "you" means that company.

2. Who can use it
You must be at least 18 and able to enter a binding contract. TradeDesk is licensed for business use by contractors and their crews, not for personal or household use.
3. Your license
We grant you a limited, personal, non-transferable, non-exclusive, revocable license to install and use TradeDesk on Apple devices you own or control, as permitted by the App Store Usage Rules, and to use the web app, for as long as this agreement is in effect. This is a license, not a sale. We keep all rights we do not expressly grant.
4. Your account
Keep your credentials private, use a strong password, and tell us right away if you suspect unauthorized access. You are responsible for everything that happens under your account, including what the crew members and subcontractors you invite do with the access you give them.
5. Free trial, subscription and billing
Free trial. New accounts get a two-week free trial. No credit card is required to start it. If you do not subscribe, the trial simply ends.
Subscription. Paid access is $99.99 per month, charged to the payment method you provide at checkout. It is an auto-renewing subscription: it renews automatically for the same term at the same price unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends.
Cancelling. Manage or cancel in your Apple ID subscription settings on your device. Deleting the app or your TradeDesk account does not cancel the subscription. You keep access through the end of the period you already paid for.
Refunds. Purchases made through the App Store are handled by Apple under its refund policy; we cannot issue those refunds ourselves. Any unused portion of a free trial is forfeited when you buy a subscription.
Price changes. If we change the price we will tell you in advance, and the new price applies only after you accept it as Apple requires. If you were promised a locked-in founding price, we will honor it for as long as your subscription stays active.
No contract or termination fee. There is no minimum term, no cancellation penalty, and no early-termination fee.
6. Your data belongs to you
Everything you put into TradeDesk (clients, jobs, estimates, invoices, books, photos, notes) is yours. You give us only the permission we need to host, back up, sync, display and process it so the app works for you, and to provide support.
Your records stay visible and editable in the app from day one. Once you have paid for at least one month, you can pull clean, tax-ready exports and bulk invoice downloads whenever you want, including before you leave. You can delete your account and data from Settings inside the app. We do not hold your books hostage.
You are responsible for the accuracy and legality of what you enter, and for having the right to enter information about other people.
Aggregated benchmarks. You also grant us the right to create and use aggregated, de-identified statistics derived from your use of TradeDesk, and to publish or share them, so the app can show all contractors realistic pricing, labor-hour and scheduling benchmarks. These statistics are stripped of identifiers and combined across many accounts so they cannot reasonably identify you, your business or your customers. This right survives termination as to statistics already created. We do not sell your personal information, client list, contracts or individual records, and you may ask us to exclude your account from the benchmark pool at any time.
7. Acceptable use
Do not:
- break the law, or use TradeDesk to defraud, harass, or deceive anyone;
- send documents or agreements you are not authorized to send;
- track a person's location without the consent and notice the law requires;
- reverse engineer, decompile, scrape, or resell the service, or share one account across separate businesses;
- attack, overload, or probe our systems, or bypass security or usage limits;
- upload malware, or content that infringes someone else's rights.
8. Crew tracking and employment obligations
TradeDesk can log employee location, time on site and mileage during the business hours you configure. Using those features, you are the employer and you are responsible for obtaining each worker's consent, giving any notice your state requires, and complying with employment, wage-and-hour, privacy and monitoring law. The app captures a consent record and limits tracking to your configured window, and an employee can revoke consent at any time. Those are tools to help you comply; they are not a legal opinion that you have complied.
The same applies to the payroll and hiring checklists, apprentice on-the-job hour logs, and 1099 and W-2 record features: they organize your records. They do not file anything for you and they are not a substitute for a payroll provider, a bookkeeper, or your state licensing board's requirements.
9. Electronic signatures
TradeDesk captures electronic signatures intended to be valid under the federal E-SIGN Act and state UETA law, and stores the signer's name, the signature, the timestamp and the document version. You are responsible for what your documents say, for using the right form for your state and trade, and for giving the signer a copy. We do not guarantee that any particular document is enforceable in your jurisdiction.
10. Payments to you
To collect card payments from your customers you connect your own Stripe account and agree to Stripe's terms. Stripe processes the payment and pays you directly. TradeDesk is not a bank, a money transmitter, or a party to the transaction between you and your customer, and we do not hold your funds. Card fees, chargebacks, disputes and refunds are between you, your customer and Stripe. We are not responsible for a payment that fails, is delayed, is reversed, or is held by Stripe.
11. Not legal, tax or accounting advice
This one matters, so it is plain: TradeDesk is software, not a professional. Features that touch law, tax or compliance (including mechanic's-lien deadline tracking, statutory cancellation-period math, deposit-cap limits, construction sales-tax categories, Schedule C and self-employment tax estimates, mileage-method comparisons, Section 179 flags, EPA RRP lead-paint pamphlet records, apprentice hour logs, and payroll or 1099 checklists) are record-keeping and estimating tools built from publicly available rules.
We are not a law firm, a CPA firm, an enrolled agent, or a licensed tax preparer, and using TradeDesk does not create an attorney-client or accountant-client relationship. Rules change, vary by state and city, and depend on facts we cannot see. Verify anything that carries a deadline or a dollar amount with a licensed professional before you rely on it. You are responsible for your filings, your notices, your deadlines and your compliance. We are not liable for a missed lien deadline, a rejected filing, a tax penalty, a licensing problem, or an unenforceable contract.
12. Third-party services and data
TradeDesk relies on third parties, including Supabase, Cloudflare, Stripe, Anthropic, Resend and Apple, and on public data sources such as property records, published paint-product catalogs and government tax tables. Their terms apply to their part of the service, and we are not responsible for their acts, outages or accuracy. Third-party data may be incomplete or out of date; confirm it before you price or file against it.
13. Availability, offline use and support
TradeDesk works offline by design and syncs when you reconnect, but we do not promise uninterrupted or error-free service. We may change, suspend or discontinue features, and we will give reasonable notice before removing something you depend on. Keep your own copies of records you cannot afford to lose; export regularly.
Support is provided by us, not Apple, at [email protected]. Apple has no obligation to furnish any maintenance or support for TradeDesk.
14. Our intellectual property
TradeDesk, its name, logo, software, design and content are owned by us and protected by intellectual-property law. You may not copy, modify, distribute, sell or create derivative works from them except as these terms allow. Feedback you send us may be used freely without obligation to you, and we appreciate it.
15. Suspension and termination
You can stop using TradeDesk and delete your account at any time. We may suspend or terminate your access if you materially breach these terms, if your use threatens the security or lawful operation of the service, or if we are required to by law, and we will give notice and a chance to fix it where practical. Sections covering your data, disclaimers, liability limits, indemnity and governing law survive termination.
16. Warranty disclaimer, liability and indemnity
Disclaimer. To the maximum extent permitted by law, TradeDesk is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. Some jurisdictions do not allow certain exclusions, so parts of this may not apply to you. In the event of any failure of the app to conform to an applicable warranty, you may notify Apple and Apple will refund the purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
Limitation of liability. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, lost data, tax penalties, or missed deadlines, even if we were warned they were possible. Our total liability for any claim relating to TradeDesk is limited to the greater of the amount you paid us in the 12 months before the claim, or one hundred US dollars.
Indemnity. You will defend and indemnify us against claims, losses and expenses arising from your use of TradeDesk, your content, your contracts with your customers, your treatment of your employees and subcontractors, or your violation of these terms or of law.
17. Governing law and disputes
These terms are governed by the laws of the State of Kansas, without regard to its conflict-of-laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Sedgwick County, Kansas, and each of us waives any objection to venue there. Before filing anything, email [email protected] and give us 30 days to resolve it. Nothing here prevents either of us from seeking relief in small-claims court.
18. Apple-specific terms
These apply to the TradeDesk app obtained through the App Store:
- This agreement is between you and us only, not with Apple. Apple is not a party to it and is not responsible for TradeDesk or its content.
- Your license is limited to using TradeDesk on Apple-branded products you own or control, as permitted by the App Store Usage Rules, except that it may be accessed by other accounts associated with you via Family Sharing or volume purchasing.
- We alone are responsible for TradeDesk, its content, maintenance and support. Apple has no support obligation.
- We alone are responsible for addressing any claim about TradeDesk, including product liability, legal or regulatory non-compliance, and consumer-protection or privacy claims.
- We alone are responsible for investigating and resolving any third-party claim that TradeDesk infringes intellectual-property rights.
- You confirm you are not located in a country subject to a US Government embargo or designated as terrorist-supporting, and that you are not on any US Government prohibited-party list.
- You must comply with applicable third-party terms when using TradeDesk.
- Apple and its subsidiaries are third-party beneficiaries of this agreement and may enforce its terms against you.
19. The rest
If a provision is unenforceable, the rest stays in force. Our not enforcing something is not a waiver. You may not assign this agreement without our consent; we may assign it in a merger, acquisition or sale of assets. These terms plus the Privacy Policy are the entire agreement between us about TradeDesk. We may update these terms, and for material changes we will notify you in the app or by email before they take effect; continuing to use TradeDesk after that means you accept them.
